Terms of Service.

The agreement between you and CodeNeter for using our software, services, and related tools.

About these Terms

These Terms of Service ("Terms") govern your use of CodeNeter, including the editor extension, the command-line interface (CLI), the web dashboard, and the remote session attach feature (together, the "Service"). By creating an account, installing the extension, signing into the CLI, or otherwise using the Service, you agree to these Terms.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" in these Terms refers to that organization.

Our handling of personal information is described in the Privacy Policy, which is part of these Terms.

Accounts

You need an account to use most of the Service. You agree to provide accurate information when you sign up, keep your credentials secure, and notify us promptly if you believe your account has been accessed without your permission.

You are responsible for activity on your account, including any actions taken by people you invite or by integrations you connect.

You must be old enough in your jurisdiction to enter into a binding agreement to use the Service.

Plans, billing, and usage

CodeNeter offers a free plan and paid plans. If you purchase a paid plan, it renews on the cadence shown at checkout and is billed in advance. Plan tiers, included usage, and pricing are described on the Pricing page and may change from time to time, with notice for material changes that affect your active plan.

If a payment fails or your account becomes past due, we may limit or suspend paid features until the issue is resolved.

You can cancel a paid plan by contacting us. Cancellation takes effect at the end of your current billing period. Except where required by law, fees already paid are non-refundable.

If you connect a third-party model account (for example, a ChatGPT account) to use with CodeNeter, that provider may charge you separately under its own terms. CodeNeter is not responsible for charges made by other providers.

Your content and your code

You keep ownership of the code, prompts, files, configurations, rules, skills, and other materials you provide to the Service ("Your Content"). You represent that you have the right to use Your Content with the Service.

You grant CodeNeter a limited, worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and process Your Content solely as needed to operate the Service for you, support reliability and security, and meet legal obligations. This license ends when you delete the relevant content or close your account, except for backups or records we are required to retain.

CodeNeter does not train any model on Your Content and does not sell, license, or share Your Content with third parties for training. See the Privacy Policy for how data flows when you choose a model provider.

AI output

The Service uses AI models to produce suggestions, edits, explanations, and other output ("Output"). Output may be incorrect, incomplete, biased, insecure, or inappropriate for your use case. You are responsible for reviewing and verifying Output before relying on it, deploying it, or sharing it.

Do not rely on Output for legal, medical, financial, safety- critical, or other regulated decisions without independent expert review. CodeNeter makes no warranty that Output is accurate, fit for any particular purpose, or free from third-party rights.

Between you and CodeNeter, you may use Output as part of your work, subject to these Terms and any applicable third-party rights. You are responsible for ensuring that any use of Output complies with applicable law and the rights of third parties.

Acceptable use

You agree not to use the Service to:

  • Violate any law, regulation, or the rights of others, including intellectual-property and privacy rights.
  • Generate or distribute content intended to harm, defraud, harass, or impersonate another person.
  • Develop, train, or improve a competing product, or to extract the Service's models, weights, prompts, or proprietary techniques.
  • Reverse engineer, decompile, or attempt to derive the source code of the Service, except where this restriction is prohibited by law.
  • Resell, sublicense, or commercially exploit the Service without our prior written permission.
  • Probe, scan, test the vulnerability of, or interfere with the Service or its infrastructure without our prior written permission.
  • Bypass technical limits, rate limits, authentication, or security measures, or use the Service in a way that imposes an unreasonable load on the infrastructure.
  • Send malware, spam, or other harmful content through the Service.

We may take action against accounts that violate this section, including limiting features, suspending access, or terminating the account.

Third-party services

The Service works with third-party services you choose: model providers, connected accounts, MCP servers (local or hosted), and other tools you wire in. Those services are operated by third parties under their own terms and privacy policies.

CodeNeter does not control and is not responsible for third-party services, including their availability, behavior, output, or how they handle data you send to them. Your use of those services is between you and the third party.

Approvals, tools, and remote attach

The agent can run terminal commands, edit files, call MCP tools, and take other actions on your behalf. You control approval policies — what requires explicit confirmation, what is auto-allowed, and which integrations are available.

You are responsible for the actions you (or anyone with your credentials) approve, including any commands run, files written, external requests made, and effects on your systems or data. CodeNeter is not responsible for the consequences of approved actions.

Remote session attach gives a browser-side operator the ability to answer approval prompts and send follow-ups on a running CLI session. Treat it with the same caution as SSH access. Keep your credentials secure and only grant attach permissions to people you trust.

Intellectual property

The Service, including the CodeNeter brand, software, design, documentation, and content we provide, is owned by CodeNeter or our licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms — no other rights are granted by implication or otherwise.

If you send us feedback or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free license to use it without obligation to you.

Suspension and termination

You can stop using the Service at any time and request account closure by contacting us.

We may suspend or terminate your access to the Service if you breach these Terms, if your use poses a security or legal risk, or if we are required to do so by law. Where reasonable, we will give notice and an opportunity to cure.

Sections that by their nature should survive termination — for example, intellectual-property rights, disclaimers, limitation of liability, indemnification, and governing law — survive any termination of these Terms.

Disclaimers and liability

Service provided "as is". The Service and any Output are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation, to the maximum extent permitted by law.

Limitation of liability. To the maximum extent permitted by law, CodeNeter and its affiliates, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the Service.

Our total liability for any claim arising out of or relating to the Service or these Terms is limited to the amount you paid us for the Service in the twelve months immediately before the event that gave rise to the claim, or one hundred United States dollars, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In those jurisdictions, the limitations above apply to the maximum extent permitted by law.

Indemnification. You agree to defend and indemnify CodeNeter against claims, damages, and expenses arising out of your use of the Service in violation of these Terms or applicable law, or out of Your Content infringing the rights of a third party.

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will give reasonable notice — for example, by email, in-product notice, or by updating the "last updated" date at the top of this page. Continued use of the Service after the changes take effect means you accept the updated Terms. If you do not agree, stop using the Service.

Governing law

These Terms apply to the maximum extent permitted by applicable law.

Nothing in this section limits any mandatory consumer-protection rights you may have under the laws of your country of residence.
